These Terms of Service ("Terms") are a contract between you and Sorable Sdn Bhd ("Sorable", "we", "us", or "our"), registration no. 201701047379, of B-5-8 Plaza Mont Kiara, Mont Kiara, 50480 Kuala Lumpur, Malaysia. They govern your access to and use of Desk Clinic, including our website, applications, and related services. By accessing or using Desk Clinic, you agree to these Terms.
If you use Desk Clinic for a clinic, company, or other organization, you confirm that you are authorized to bind that organization. In that case, "you" includes both you and that organization.
Use of the Service
You may use Desk Clinic only in line with these Terms and applicable laws. You are responsible for:
- keeping account credentials confidential
- the accuracy of information submitted to the service
- all activity under your account or organization
- configuring user permissions and access controls
- using the service only for lawful business purposes
You may not:
- use the service to violate any law or regulation
- attempt to gain unauthorized access to any account, system, or data
- interfere with or disrupt the service or its infrastructure
- reverse engineer, scrape, or probe the service except as permitted by law
- upload malicious code or content intended to harm the service or others
- use the service to send unlawful, abusive, or deceptive communications
AI-assisted Features
Some Desk Clinic plans include optional AI-assisted features, such as an in-product assistant. If you use those features:
- You are responsible for how you use AI outputs. AI-generated content can be inaccurate, incomplete, or unsuitable for your situation.
- Desk Clinic does not provide medical, legal, or professional advice. An AI response is not a substitute for clinical judgment, professional advice, or your own check.
- To generate a response, your prompts and related context may be processed by a third-party AI provider, such as OpenAI or another provider we configure. Use of AI features is subject to plan limits, fair use, and technical safeguards we apply.
- You allow Sorable to send those inputs to the provider and to store the related chat history, as described in our Privacy Policy, so we can run the feature.
We may modify, limit, suspend, or discontinue AI features at any time.
Messaging (SMS and WhatsApp)
Where your organization turns messaging on, Desk Clinic may send SMS and WhatsApp messages, such as appointment reminders, through a provider such as Twilio. Delivery depends on the carrier, WhatsApp, and the recipient's device. Message fees charged by the provider, and any consent or content rules that apply to those messages, are your organization's responsibility. You are responsible for getting consent where the law requires it, and for the content of messages you send.
Customer Data
You keep your rights in the data, records, files, and other content you submit to Desk Clinic ("Customer Data"). You grant Sorable a non-exclusive, worldwide, limited licence to host, process, transmit, display, and otherwise use Customer Data only as needed to provide, secure, and support the service, and as these Terms and our Privacy Policy allow.
You are responsible for:
- getting the rights, consents, and authorizations Customer Data requires
- giving any notices the law requires
- how your users handle Customer Data in the service
- complying with laws that apply to medical, health, employment, tax, and business records
Privacy
Our Privacy Policy explains how we handle personal information. By using Desk Clinic, you acknowledge that we process information as that policy describes.
Subscriptions and Billing
Some Desk Clinic features require a paid subscription or another paid service. If you buy a paid service:
- you agree to pay the fees, taxes, and charges that apply
- a recurring subscription renews until you cancel it, unless we say otherwise
- you authorize our payment processor to charge the payment method you selected
- we may change pricing, plan features, and limits for future periods, with notice where the law requires it
Unless we say otherwise, fees are non-refundable except where the law requires a refund.
Availability and Changes
We may update, modify, suspend, or discontinue all or part of the service. We work to keep the service available. We do not guarantee that every feature will always be available.
Third-Party Services
Desk Clinic relies on third-party services, including payment processors, hosting, authentication, analytics, messaging, and storage. Your use of a third-party service may also be subject to that provider's terms and privacy policy.
Intellectual Property
Sorable or its licensors own Desk Clinic and the related software, content, branding, designs, and technology. Those rights are protected by intellectual property laws. These Terms give you only the limited right to use the service. They do not transfer any other right to you.
Feedback
If you send us suggestions, ideas, or other feedback, we may use them without restriction or payment to you.
Termination
You may stop using Desk Clinic at any time. We may suspend or end your access if:
- you breach these Terms
- your use creates a security, legal, or operational risk
- payment is overdue
- the law requires us to do so
When access ends, your right to use the service ends. Sections that should survive by their nature still apply, including billing, intellectual property, disclaimers, limitation of liability, indemnity, and disputes.
Disclaimers
Desk Clinic is provided on an "as is" and "as available" basis. To the maximum extent the law allows, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
Desk Clinic is software for clinic operations. It does not provide medical advice, legal advice, accounting advice, or regulatory certification. The same is true of AI-assisted features. Treat those outputs as information to be reviewed by a qualified person where that review is needed.
Limitation of Liability
To the maximum extent the law allows, Sorable and its affiliates, officers, employees, agents, suppliers, and licensors will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, goodwill, data, or business opportunities, arising out of or related to your use of the service.
To the maximum extent the law allows, our total liability for claims arising out of or relating to the service will not exceed the amount you paid Sorable for the service during the 12 months before the event that gave rise to the claim.
Indemnity
You agree to indemnify and hold harmless Sorable from claims, liabilities, damages, losses, and expenses arising out of or related to:
- your Customer Data
- your breach of these Terms
- your misuse of the service
- your violation of applicable law or of another person's rights
Governing Law
These Terms are governed by the laws of Malaysia. The courts of Malaysia have jurisdiction over disputes arising out of these Terms, unless applicable law requires a different court.
Changes to These Terms
We may update these Terms from time to time. If we make a material change, we will post the revised Terms and change the "Last updated" date above. If you keep using Desk Clinic after that date, you accept the revised Terms.
