Terms of Service

These Terms of Service ("Terms") govern your access to and use of Desk Clinic, including our website, applications, and related services. By accessing or using Desk Clinic, you agree to these Terms.

If you use Desk Clinic on behalf of a clinic, company, or other organization, you represent that you are authorized to bind that organization to these Terms. In that case, "you" includes both you and that organization.

Use of the Service

You may use Desk Clinic only in compliance with these Terms and applicable laws. You are responsible for:

  • keeping account credentials confidential
  • ensuring the accuracy of information submitted to the service
  • all activity occurring under your account or organization
  • configuring user permissions and access controls appropriately
  • using the service only for lawful business purposes

You may not:

  • use the service to violate any law or regulation
  • attempt to gain unauthorized access to any account, system, or data
  • interfere with or disrupt the service or its infrastructure
  • reverse engineer, scrape, or probe the service except as permitted by law
  • upload malicious code or content intended to harm the service or others
  • use the service to send unlawful, abusive, or deceptive communications

AI-assisted features

Some Desk Clinic plans include optional AI-assisted features (for example, an in-product assistant). If you use those features:

  • You are responsible for how you use AI outputs. AI-generated content may be inaccurate, incomplete, or unsuitable for your situation.
  • Desk Clinic does not provide medical, legal, or professional advice. AI responses are not a substitute for clinical judgment, professional advice, or your own verification.
  • To generate responses, your prompts and related context may be processed by third-party AI model providers (for example, OpenAI or other providers we configure). Use of AI features is subject to plan limits, fair use, and technical safeguards we may apply.
  • You grant Desk Clinic permission to submit such inputs to those providers and to store associated chat history as described in our Privacy Policy, solely to operate the feature.

We may modify, limit, suspend, or discontinue AI features at any time.

Messaging (SMS)

Where enabled for your organization, Desk Clinic may send SMS messages (for example, appointment reminders) through a messaging provider such as Twilio. Message delivery depends on carriers and recipient devices; fees and regulatory requirements may apply. You are responsible for obtaining consent where required and for message content you initiate.

Customer Data

You retain your rights in the data, records, files, and other content you submit to Desk Clinic ("Customer Data"). You grant Desk Clinic a non-exclusive, worldwide, limited license to host, process, transmit, display, and otherwise use Customer Data only as necessary to provide, secure, support, and improve the service and as otherwise permitted by these Terms and our Privacy Policy.

You are responsible for:

  • obtaining all necessary rights, consents, and authorizations for Customer Data
  • providing any notices required by applicable law
  • your users' use of Customer Data within the service
  • complying with laws applicable to medical, health, employment, tax, and business records

Privacy

Our Privacy Policy explains how we handle personal information. By using Desk Clinic, you acknowledge that we may process information as described there.

Subscriptions and Billing

Some Desk Clinic features require a paid subscription or other paid services. If you purchase paid services:

  • you agree to pay all applicable fees, taxes, and charges
  • recurring subscriptions renew automatically until canceled, unless stated otherwise
  • you authorize our payment processor to charge your selected payment method
  • pricing, plan features, and limits may change prospectively with notice where required

Unless otherwise stated, fees are non-refundable except where required by law.

Availability and Changes

We may update, modify, suspend, or discontinue all or part of the service from time to time. We aim to improve and maintain the service, but we do not guarantee that every feature will always be available.

Third-Party Services

Desk Clinic may integrate with or rely on third-party services such as payment processors, hosting providers, authentication providers, analytics providers, messaging providers, or storage providers. Your use of those third-party services may be subject to their own terms and privacy policies.

Intellectual Property

Desk Clinic and all related software, content, branding, designs, and technology are owned by Desk Clinic or its licensors and are protected by applicable intellectual property laws. Except for the limited right to use the service under these Terms, no rights are granted to you.

Feedback

If you provide suggestions, ideas, or feedback, we may use them without restriction or compensation to you.

Termination

You may stop using Desk Clinic at any time. We may suspend or terminate your access if:

  • you breach these Terms
  • your use poses a security, legal, or operational risk
  • payment obligations remain unpaid
  • we are required to do so by law

Upon termination, your right to use the service ends. Sections that by their nature should survive termination will survive, including sections relating to billing obligations, intellectual property, disclaimers, limitation of liability, indemnity, and dispute-related terms.

Disclaimers

Desk Clinic is provided on an "as is" and "as available" basis. To the maximum extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

Desk Clinic provides software tools for clinic operations. It does not provide medical advice, legal advice, accounting advice, or regulatory certification. The same applies to any AI-assisted features: outputs are informational only and must be reviewed by qualified personnel where appropriate.

Limitation of Liability

To the maximum extent permitted by law, Desk Clinic and its affiliates, officers, employees, agents, suppliers, and licensors will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenues, goodwill, data, or business opportunities, arising out of or related to your use of the service.

To the maximum extent permitted by law, our total liability for claims arising out of or relating to the service will not exceed the amount you paid to Desk Clinic for the service during the 12 months before the event giving rise to the claim.

Indemnity

You agree to indemnify and hold harmless Desk Clinic from claims, liabilities, damages, losses, and expenses arising out of or related to:

  • your Customer Data
  • your breach of these Terms
  • your misuse of the service
  • your violation of applicable law or the rights of a third party

Governing Law

These Terms are governed by the laws applicable in the jurisdiction in which the contracting Desk Clinic entity operates, excluding conflict of laws rules. Venue for disputes will lie in the courts with competent jurisdiction in that location, unless applicable law requires otherwise.

Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will post the revised Terms and update the "Last updated" date above. Continued use of Desk Clinic after the effective date of the updated Terms means you accept the revised Terms.
